The quality and depth of our insider trading information is unmatched. Our
data integrity staff and systems verify and correct data in real-time. We
also capture and standardize value-added information often reported in free text
fields such as footnotes or remarks. With a correction rate of over 20% of
the reported data, our processes allow for the information to be used in investment
decisions with confidence.
We disseminate the information in variety of ways including realtime low latency
feeds, daily data files, or on request via web service APIs. In addition to
direct distribution we also publish news and premium value-added content on the
Bloomberg, Dow Jones, and Thomson Reuters platforms.

Data Accuracy and Depth
|
|
|
The Washington Service specializes in ensuring the accuracy of data, submitting
every trade to scrutiny by data integrity specialists and proprietary verification
algorithms. Our accurate and extensively checked data extends back to 1988, giving
us an unparalleled depth of insider information.
- Double-reading forms: Two different data integrity specialists read and interpret
every Form 4 disseminated by the SEC. If the two sets of extracted data do not match
exactly, the form is then re-read and re-interpreted by a third higher-level data
integrity specialist. We repeat this until two independently extracted sets of data
match exactly.
- Correcting filer errors: We correct filer errors in over 20% of Form 4s.
Our data staff consult other SEC filings and market data sources and often contact
the filer directly.
- Most extensively vetted data: We create real-time news stories for the Thomson
Reuters, Dow Jones, and Bloomberg news services. We rarely receive reports of issues
with our news stories, but when an issue does arise, we resolve it prior to generating
client data.
- Eliminating duplicate reports: Frequently, different filers report the same
trade on multiple Form 4s. Throughout the day, we identify, review, and eliminate
duplicate trades.
- Large trade reviews: We have another level of review for all trades valued
over $1 million and all purchases valued over $100,000.
- Capturing trades in footnotes and Table II: Our systems identify trades that
incorrectly appear in Form 4 footnotes and in Table II (the derivative security
transactions table). These trades are reviewed by our data integrity specialists.

Restricted (144) Stock Sale/10b5-1 Data
|
|
|
The Washington Service provides data beyond basic Form 4 trades:
- Restricted (144) Stock Sale:
- In contrast to insiders in U.S. companies, officers and directors of many foreign
issuers traded on U.S. stock exchanges are not required to file a Form 4. However,
they are still required to register proposed sales of restricted stock on a Form
144. Consequently, the 144 is the only source of information on insider stock sales
in these companies.
- In addition, while all insiders who file a Form 144 must also file a Form 4 if they
actually sell the restricted stock, not all affiliates are insiders. Form 144s may
therefore also report significant sales by affiliates that are not disclosed on
Form 4s.
- 10b5-1 Trades:
- A trade made pursuant to a 10b5-1 plan is one that occurs automatically based on
a pre-arranged schedule, allowing insiders to execute trades during company-dictated
"blackout windows."
- We gather 10b5-1 data reported on Form 4s and indicate whether the trade was planned
pursuant to this rule.

United Kingdom Insider
|
|
|
United Kingdom insider trading data can be accessed through The Washington Service
on Bloomberg or Thomson Reuters Bridge. We publish a daily summary report for each
day’s insider trading activity shortly after the close of the U.K. market.
